TERMS AND CONDITIONS_
The rules of the deal, written to be understood. If anything here reads as ambiguous, write to us before signing: we would rather clear it up now than argue about it later.
01 // SCOPE
These terms govern the use of korova-mb.com and the commercial relationship with KOROVA_MB, domiciled in Bogotá, Colombia. By using the site or hiring our services, you accept them. Each project is also governed by the proposal or contract we sign; if the two conflict, that document prevails.
02 // SERVICES
Custom software development, process automation, artificial intelligence and language model integration, data analytics and technology consulting. The specific scope of each project is defined in writing in the accepted proposal. What is not in there is not included.
03 // QUOTES AND ESTIMATES
The estimator on this site returns a REFERENCE ESTIMATE, not a firm offer. Figures depend on the actual scope, the accesses and the information you provide. The binding quote is the formal proposal we send in writing, valid for 30 calendar days unless stated otherwise.
04 // ENGAGEMENT AND PAYMENT
A project starts with written acceptance of the proposal and the agreed advance payment. Prices may be stated in US dollars or Colombian pesos; when agreed in dollars, they are settled at the TRM rate on the invoice date. Amounts exclude VAT and any taxes, withholdings or bank fees, which are added under Colombian law. We invoice electronically under DIAN regulations. Overdue payment allows us to suspend the service.
05 // TIMELINES AND DELIVERABLES
Schedules assume timely delivery of accesses, content, approvals and information from your side. Delays in those inputs shift the schedule by the same amount. Deliverables are considered accepted if we receive no written observations within five business days.
06 // INTELLECTUAL PROPERTY
Upon full payment, deliverables developed specifically for you become your property. KOROVA_MB retains ownership of its pre-existing knowledge, libraries, internal tools and reusable components, and grants you a perpetual licence to use them in order to operate the deliverable. Third-party and open-source software is governed by its own licences.
07 // CONFIDENTIALITY
Information you share with us is used solely to carry out the project and is not disclosed to third parties outside it. This obligation survives termination by two years. Unless you ask otherwise in writing, we may mention your brand and a general description of the work in our portfolio.
08 // ARTIFICIAL INTELLIGENCE
Systems built on language models and machine learning produce probabilistic results and can be wrong. We do not warrant the accuracy, completeness or fitness of any specific output, and using them in decisions with legal, financial, medical or safety impact requires human supervision on your side. Integrated third-party services are governed by their own terms, availability and pricing.
09 // WARRANTY AND LIABILITY
We fix defects in deliverables at no cost when reported within 30 calendar days of delivery, provided they do not stem from changes made by third parties, from use other than intended, or from external service failures. We do not warrant specific commercial results. Our total liability is limited to the amount actually paid for the project and excludes indirect damages, loss of profit and data loss.
10 // USE OF THE SITE
Site content belongs to KOROVA_MB. Copying it for commercial purposes, extracting it by automated means, or using the forms to send spam, malicious code or abnormal volumes of requests is not permitted. We apply rate limits and may block access in case of abuse.
11 // PERSONAL DATA
Processing of personal data is governed by our Data Processing Policy, under Law 1581 of 2012 and Decree 1377 of 2013.
12 // CHANGES AND GOVERNING LAW
We may update these terms by publishing a new version on this page; ongoing projects are governed by the version in force when the proposal was accepted. Colombian law applies and any dispute is submitted to the courts of Bogotá D.C. Before going there, we commit to trying to solve it by talking.
